SKF shareholders approve spin-off of automotive bearing business SKF Vertevo
SKF’s EGM approved distributing SKF Vertevo shares at one for every five SKF shares; first trading day on Nasdaq Stockholm is expected on 1 December 2026.
An Extraordinary General Meeting of AB SKF held on 1 October 2026 approved the distribution of all shares in SKF Vertevo AB, the subsidiary housing SKF’s automotive bearing business, to SKF shareholders. SKF Vertevo is expected to begin trading on Nasdaq Stockholm on 1 December 2026.
Under the resolution announced from Gothenburg, five class A shares in SKF entitle the holder to one class A share in SKF Vertevo, with the same ratio applying to class B shares. Existing SKF shareholders will therefore become direct owners of the new listed company.
“An important milestone”
“We are very pleased with the support from the shareholders, which marks an important milestone on the path towards establishing SKF Vertevo as an independent and strong listed company,” said Håkan Buskhe, Chair of the Board of SKF Vertevo. SKF’s Board had convened the meeting on 7 September 2026 as the next step in the listing process.
Following the distribution, SKF will report its Automotive segment as discontinued operations in its third-quarter results.
Timetable
- November 2026: publication of the prospectus
- 17 November 2026: SKF Vertevo Capital Markets Day in Stockholm
- 25 November 2026: last day of trading in SKF shares including the right to receive SKF Vertevo shares
- 27 November 2026: record date for the distribution
- 1 December 2026: expected first day of trading in SKF Vertevo shares on Nasdaq Stockholm
Once the steps are complete, SKF’s automotive bearing activities will sit in a separately listed company with its own board and shareholder base, while SKF continues as a separate listed group.
